1. The Commission & Scope
Bespoke Nature: All work is commissioned on a project-by-project basis. The specific deliverables, timeline, and creative brief will be defined in a signed Project Proposal or Statement of Work (SOW).
Scope Creep: Any requests outside the original SOW will be treated as a change order and billed at our standard studio hourly rate.
2. The Creative Process
Project Phases: Projects typically follow a three-stage structure: Concept & Storyboarding, Production, and Final Mastering.
Refinement Rounds: Unless otherwise stated, each phase includes two (2) rounds of consolidated feedback. To maintain the project's rhythm, feedback must be provided within five (5) working days of a milestone delivery.
Artistic Integrity: As a creative studio, Virgini Studio retains final artistic discretion over the technical execution (frame rates, bitrates, mixing standards) to ensure the work meets our professional benchmark.
3. Financial Terms
Project Terms: To ensure a focused creative process, we structure project payments in three stages. A 30% commencement fee secures your place in our schedule and initiates the work. A 40% progress payment is due upon the approval of the creative direction, with the final 30% following final approval, prior to the delivery of the high-resolution masters.
Payment: Invoices are issued by Virgini Studio Ltd and are payable via bank transfer within 14 days.
Late Payments: We reserve the right to suspend work or withhold final assets if accounts are overdue.
4. Intellectual Property & Usage
Transfer of Rights: Upon receipt of full and final payment, we grant the Client an exclusive, perpetual license to use the final deliverables for the purpose and territory defined in the Project Proposal.
Studio Credit: We retain the right to be credited for our work.
Portfolio Rights: Virgini Studio Ltd retains the right to use extracts of the work (and "behind-the-scenes" process) for our portfolio, social media, and self-promotional purposes.
Master Files: Ownership of "Project Files" (raw project data, unmerged layers, MIDI data, etc.) remains with Virgini Studio Ltd unless a separate "Buyout" fee is negotiated.
5. Delays & Cancellations
Client Delays: Our schedule is built around your deadlines. If a project is delayed by the Client for more than 21 days, we reserve the right to re-quote or move the project to a later "Season" window.
Kill Fee: In the event of a project cancellation after production has begun, a "Kill Fee" proportional to the work completed (up to 100% of the total fee) will be invoiced.
6. Infrastructure & Governing Law
Remote Standards: We use industry-standard review tools (e.g., Frame.io). Client agrees that digital approval via these platforms constitutes formal sign-off.
Governing Law: These terms are governed by the Laws of England & Wales. Any disputes will be subject to the exclusive jurisdiction of the English Courts.
